Service Terms

These Service Terms govern consulting engagements and custom AI build projects with DeployToday. They supplement our general Terms of Service and apply to all professional services we provide.
1. Scope of Services
The specific scope, deliverables, timeline, and fees for each engagement will be defined in a Statement of Work (SOW) or project proposal. Services may include:
- AI strategy consulting and roadmap development
- Technical architecture design and review
- Custom AI model development and training
- Application development and integration
- Deployment, monitoring, and optimization
- Training and knowledge transfer
Any changes to the scope must be agreed upon in writing by both parties.
2. Project Engagement Process
Our standard engagement process includes the following phases:
- Discovery: Initial consultation to understand your requirements, goals, and constraints.
- Proposal: Detailed proposal including scope, timeline, deliverables, and pricing.
- Agreement: Contract execution and initial payment as per agreed terms.
- Execution: Project work with regular progress updates and milestone reviews.
- Delivery: Final deliverable handoff, documentation, and knowledge transfer.
3. Deliverables and Acceptance
Upon delivery of each milestone or final deliverable, you will have a review period (typically 10 business days) to evaluate the work against the agreed specifications.
Acceptance criteria will be defined in the SOW. If deliverables do not meet the specifications, you must provide written notice with specific details. We will make reasonable efforts to address documented deficiencies.
Deliverables are deemed accepted if no objection is received within the review period or upon first use in a production environment.
4. Payment Terms
Payment terms are specified in each SOW and may include:
- Fixed Price: Payment based on agreed milestones or completion of deliverables.
- Time and Materials: Payment based on hours worked at agreed rates.
- Retainer: Monthly fee for ongoing access to consulting services.
Invoices are due within 30 days unless otherwise specified. Late payments may incur interest at 1.5% per month. We reserve the right to suspend work if payments are more than 15 days overdue.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. Confidential information includes:
- Business strategies, plans, and financial information
- Technical specifications, architectures, and source code
- Customer data and personal information
- Any information marked as confidential
Confidentiality obligations survive the termination of the engagement for a period of 3 years, except for trade secrets which remain protected indefinitely.
6. Intellectual Property Ownership
Unless otherwise specified in the SOW:
- Client Materials: You retain ownership of all materials you provide to us.
- Custom Deliverables: Upon full payment, you own the custom code, models, and documentation we create specifically for your project.
- Pre-existing IP: We retain ownership of our pre-existing tools, frameworks, libraries, and methodologies.
- General Knowledge: We retain the right to use general knowledge, skills, and experience gained during the engagement.
7. Warranties and Disclaimers
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
Except as expressly stated, we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee specific results, performance metrics, or business outcomes.
AI systems involve inherent uncertainties. Results may vary based on data quality, implementation environment, and usage patterns.
8. Limitation of Liability
Our total liability for any claims arising from an engagement shall not exceed the fees paid for that specific engagement.
Neither party shall be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data, regardless of the cause of action or foreseeability.
9. Termination
Either party may terminate an engagement:
- With 30 days' written notice for convenience
- Immediately for material breach that remains uncured after 15 days' notice
- Immediately if the other party becomes insolvent or bankrupt
Upon termination, you are responsible for payment for all work completed through the termination date. We will deliver all completed work product upon receipt of final payment.
10. Dispute Resolution
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes will be resolved through:
- Mediation: Non-binding mediation with a mutually agreed mediator.
- Arbitration: Binding arbitration under [Arbitration Rules] if mediation fails.
Each party shall bear its own costs, with mediation and arbitration fees split equally unless the arbitrator determines otherwise.
